Make Retail Ltd trading as Make Blue - terms
General Terms of Sale
Effective Date: 01/01/2026
These Terms of Sale apply to all quotations, orders and sales of goods supplied by Make Retail Ltd trading as Make Blue ("Make Blue", "we", "our" or "us").
By requesting a quotation, placing an order or purchasing goods from us, you agree to these Terms of Sale.
1. About Us
Make Retail Ltd trading as Make Blue supplies plumbing, heating, bathroom and associated products to trade and retail customers.
These Terms apply to all sales unless otherwise agreed in writing by a Director of Make Retail Ltd.
2. Quotations
2.1 All quotations are valid for 30 days unless stated otherwise.
2.2 Quotations are subject to product availability and supplier price changes.
2.3 Prices are exclusive of VAT unless otherwise stated.
2.4 It is the Customer's responsibility to carefully check all quotations before confirming an order, including:
Product descriptions
Quantities
Sizes
Colours
Finishes
Product specifications
Prices
2.5 By confirming an order, the Customer confirms that the quotation has been checked and is correct.
2.6 Once an order has been confirmed, any amendments requested by the Customer may result in additional charges or delays.
3. Orders
3.1 Orders may be placed in person, by telephone, email, WhatsApp, text message or any other method accepted by Make Blue.
3.2 An order becomes binding once we accept your instruction to proceed.
3.3 We are entitled to rely on instructions given by any person who reasonably appears to be acting on behalf of a business customer, including employees, contractors, consultants, designers, project managers or authorised representatives.
3.4 It is the Customer's responsibility to ensure only authorised persons place orders on their behalf.
4. Special Order and Non-Stock Goods
4.1 Goods ordered specifically for a Customer, including non-stock or special-order items, cannot normally be cancelled once ordered from our supplier.
4.2 Special-order goods are non-returnable unless they are faulty or otherwise required by law.
4.3 Where cancellation is accepted, any supplier cancellation charges or restocking charges will be payable by the Customer.
5. Prices and Payment
5.1 Unless credit facilities have been agreed in writing, payment must be made before goods are collected or delivered.
5.2 Customers with approved credit accounts shall pay invoices in accordance with their agreed credit terms.
5.3 We reserve the right to refuse or withdraw credit facilities at any time.
5.4 Overdue accounts may result in deliveries being suspended until payment has been received.
6. Delivery
6.1 Delivery dates are estimates only and are not guaranteed.
6.2 The Customer is responsible for ensuring that someone suitable is available to receive the delivery.
6.3 Where large or heavy items are being delivered, suitable assistance must be available to safely unload the goods.
6.4 Our drivers are not required to manually carry heavy or bulky items where, in their reasonable opinion, doing so would be unsafe or impractical.
6.5 If delivery cannot reasonably or safely be completed because:
no suitable person is available to receive the goods;
suitable assistance is unavailable;
access is unsafe or restricted; or
the Customer is not present as agreed,
we reserve the right to refuse delivery and apply a £50 failed delivery charge together with any additional delivery costs reasonably incurred.
6.6 Further delivery attempts may be subject to additional delivery charges.
7. Collection
7.1 Customers collecting goods are responsible for ensuring they have suitable transport and adequate assistance where required.
7.2 Risk passes to the Customer once goods have been collected.
8. Inspection of Goods
8.1 Customers must inspect all goods immediately upon delivery or collection.
8.2 Before opening any packaging, Customers should check that the external labels match the goods ordered, including:

Colour
Size
Finish
Quantity
8.3 Packaging should not be opened until these checks have been completed wherever reasonably possible.
8.4 Goods should not be cut, drilled, installed, painted or otherwise altered until they have been fully inspected and confirmed as correct.
8.5 We recommend that installers are not booked until all goods have been delivered, inspected and confirmed as suitable.
8.6 We shall not be responsible for labour costs, contractor costs or consequential losses arising from the installation of goods before they have been inspected.
9. Returns
9.1 Returns are accepted only with our prior agreement.
9.2 Goods must be:
unused;
undamaged;
complete; and
returned in their original packaging.
9.3 Many of our suppliers will not accept returns where packaging has been opened. Where a supplier refuses a return for this reason, we reserve the right to refuse the return.
9.4 Supplier restocking charges will be passed on to the Customer. These typically range from 10% to 25%, depending on the supplier.
9.5 Suppliers also impose return deadlines, generally between 7 and 30 days from the date of supply. We are unable to accept returns outside the supplier's permitted return period.
9.6 Bespoke, made-to-order, discontinued and special-order products are non-returnable unless faulty.
10. Goods Awaiting Collection
10.1 Customers will be notified when goods are available for collection.
10.2 Goods remaining uncollected for more than 30 days may be invoiced and become immediately payable in accordance with the agreed payment terms.
10.3 Once invoiced, the goods shall remain available for collection.
10.4 We reserve the right to charge reasonable storage charges where goods remain uncollected for an extended period. Storage charges shall be applied at a reasonable commercial rate determined by Make Blue.
11. Customer Acceptance
11.1 If you believe an order has been placed incorrectly or without authority, you must notify us as soon as reasonably possible.
11.2 Requests to amend invoices, delivery details or other administrative information without raising any dispute regarding the validity of the order may be treated as evidence that the order has been accepted.
11.3 Any concerns regarding incorrect goods, shortages or unauthorised orders should be raised within 48 hours of delivery or collection.
12. Risk and Ownership
12.1 Risk in the goods passes to the Customer upon delivery or collection.
12.2 Ownership of the goods remains with Make Retail Ltd until payment has been received in full.
12.3 Where goods are supplied on a Trade Credit Account, the Retention of Title provisions contained within the Trade Credit Account Terms shall also apply
12.4 We reserve the right to recover unpaid goods where permitted by law.
13. Manufacturer's Warranties
13.1 Manufacturer warranties apply where provided.
13.2 We are not responsible for defects caused by incorrect installation, misuse, accidental damage, neglect or failure to follow the manufacturer's instructions.
14. Product Variations
14.1 Product images, brochures, showroom displays and samples are intended as a guide only.
14.2 Minor variations in colour, finish, texture, pattern or shade may occur between batches and manufacturers.
14.3 Customers ordering additional quantities at a later date should be aware that exact batch matching cannot be guaranteed.
15. Limitation of Liability
15.1 Nothing in these Terms limits or excludes liability where it cannot legally be excluded.
15.2 Subject to clause 15.1, our liability for any claim arising from the supply of goods shall not exceed the price paid for those goods.
15.3 We shall not be liable for indirect or consequential losses, including loss of profit, loss of business or additional installation costs, except where such liability cannot legally be excluded.
16. Force Majeure
We shall not be responsible for delays or failure to perform our obligations where caused by circumstances beyond our reasonable control, including supplier shortages, transport disruption, industrial action, severe weather or other unforeseen events.
17. Governing Law
These Terms of Sale are governed by the laws of England and Wales.
Any dispute shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Changes to these Terms
We may amend these Terms from time to time.

Terms and Conditions for Credit Accounts
1. Credit Accounts
1.1 These Terms and Conditions apply to all credit accounts and goods supplied on credit by Make Retail Limited trading as Make Blue ("we", "our", "us" or "Make Blue") to you, the credit account customer ("you"). These Terms and Conditions are in addition to the General Terms of Sale, which apply to all quotations, orders and sales and are available at www.make-blue.co.uk/terms.
1.1.1 Where these Trade Credit Account Terms differ from the General Terms of Sale, these Trade Credit Account Terms shall take precedence in relation to credit facilities only.
1.2 We require payment in full in advance for all orders unless we have agreed to open a credit account for you. All credit accounts and goods provided on credit are provided at our sole discretion and subject to ongoing approval. We reserve the right to refuse credit, even to existing credit account customers, at any time.
1.3 Our agreement with you is not regulated by the Consumer Credit Act. We do not supply goods on credit to consumers. By opening a credit account you agree and accept that you are not dealing with us as a consumer.
1.4 Orders
1.4.1 All orders placed on a Trade Credit Account remain subject to the Company's General Terms of Sale.
1.4.2 The Company is entitled to rely upon instructions given by any person who reasonably appears to be acting on behalf of the Customer, including employees, contractors, consultants, designers, project managers or authorised representatives.
1.4.3 It is the Customer's responsibility to ensure that only authorised persons place orders on its behalf.
2. Information Required and Credit Checks
2.1 In order to open a credit account with us you will be required to supply us with references and such other information as we may request in our credit account application form.
2.2 We reserve the right to carry out a credit reference search on you and any personal guarantors before opening the account. We may update this search at any time.
2.3 You agree that all information you supply in your credit account application, is true, complete and not misleading.
2.4 When we open your credit account we will inform you of your credit limit and we reserve the right to adjust this limit at any time for any reason and to withdraw a credit account at any time, for any
reason.
3. Personal Guarantees
3.1 In order to open a credit account for business or professional customers all of the directors of the customer company or members of the customer LLP (or if there are more than three directors or members at least three of such directors or members) are required to provide Make Retail with a personal guarantee and to sign the credit account application form indicating that they are prepared to guarantee the obligations of the credit account customer. These individual(s) are referred to as the “guarantors”.
3.2 By signing the credit account application form each guarantor is agreeing to these terms and conditions in full. The liability of the guarantors shall be joint and several.
3.3 If at any time a guarantor ceases to have any involvement with the customer as director, shareholder or member they will continue to be liable to us under this clause unless we have agreed to replace the guarantor with another individual.
3.4 Please note that credit limits are subject to increase and any guarantor will be liable for the full obligations of the customer to us plus interest and costs and liability will not be limited to the amount of the original credit limit.
3.5 In exchange for Make Retail agreeing to provide items on credit to the credit account customer each of the guarantors agrees (as a primary obligation) that they irrevocably and unconditionally:
3.5.1 agree to ensure the full and prompt performance of the obligations of the credit account customer and the punctual payment of all sums payable by the credit account customer to us;
3.5.2 will guarantee as a continuing guarantee to us the due and punctual performance and observance by the credit account customer of each of the credit account customer’s obligations
under these terms or arising in consequence of any breach of its agreement with us;
3.5.3 agree to indemnify us on demand against all losses which we may incur arising from or in connection with any breach by the credit account customer of any of its obligations to us or in enforcing any of our rights under these terms;
3.5.4 agree that if and each time that the credit account customer fails to make any payment to us when it is due, the guarantors shall on demand (without requiring us to first to take steps against the credit account customer or any other person) pay that amount together with interest at the rate set out below to us;
3.5.5 that the liability of the guarantors shall be joint and several and shall not be released or diminished in whole or in part by anything which, but for this provision, might operate to affect their liability, including without limitation:
(a) any variation of these terms;
(b) any forbearance or neglect or delay by us in seeking the performance of any obligations of the credit account customer or any other agreement or arrangement between the credit account customer and us or any other person;
(c) any unenforceability or invalidity of any obligation of the credit account customer, so that this clause shall be construed as if there were no such unenforceability or invalidity.
3.5.6 agree that any guarantee under this clause 5 shall remain in force until the credit account is closed or we agree otherwise in writing.
4. Payment of Invoices
4.1 All credit balances will be payable within 30 days of the end of the month in which we submit our invoice to you. If you fail to make payment within our credit period we will immediately cancel your credit account and pursue you for the unpaid sum.
4.2 We will charge interest at the rate of 8% above the base lending rate of the Bank of England on any overdue sums.
4.3 We reserve the right to place any overdue account on stop without prior notice and to suspend all further deliveries until all overdue sums have been paid.
4.4 Suspension of Credit Facilities
We reserve the right to suspend or withdraw credit facilities where:
any invoice is overdue;
the Customer exceeds its agreed credit limit;
we reasonably believe payment may not be made when due; or
the Customer is in breach of these Terms and Conditions.
Suspension of a credit account shall not affect the Customer's obligation to pay any outstanding invoices.
4.5 No Set-Off
The Customer shall not withhold, delay or reduce payment of any invoice because of any dispute relating to another invoice, delivery, order or claim unless required by law or agreed by Make Blue in writing.
5. Risk and Title
5.1 If you are a credit account customer then
5.1.1 risk of damage to or loss of the goods shall pass to you when the goods or any part thereof are despatched for delivery to you, notwithstanding that we may arrange for delivery; and
5.1.2 property in the goods shall not pass to you until we have received payment in full (in cash or cleared funds payment) for the goods and all other goods agreed to be sold by us to you for which payment is then due
5.1.3 until the property in the goods passes to you, you will hold the goods as our fi duciary agent and bailee, and shall keep the goods separate from other goods and properly stored, protected and insured and identifi ed as our property. Until that time you will be entitled to resell or use the goods in the ordinary course of your business, but shall account to us for the proceeds of sale or otherwise of the goods, including insurance proceeds, and shall keep all such proceeds separate from any other moneys or property and, in the case of tangible proceeds, property stored, protected and insured;
5.1.4 until the property in the goods passes to you (and provided the goods are still in existence and have not been resold), we shall be entitled at any time to require you to deliver up the goods to us and, if you fail to do so immediately, we reserve the right to enter upon any premises where the goods are stored and repossess the goods and to dismantle the same (without being liable for any damage caused by so doing)
5.1.5 You will not be entitled to pledge or in any way charge by way of security for any indebtedness any of the goods which remain our property, but if you do so all moneys owing by you to us will forthwith become due and payable.
5.1.6 You will at our request assign to us any right of action against any third party in respect of moneys due for such goods or products.
6. Default
6.1 We reserve the right to cancel or suspend any credit account or order and any further deliveries without liability and if the items have been delivered but not paid for the full price and any outstanding credit balances shall become immediately due and payable notwithstanding any previous agreement or arrangement to the contrary, if you:
6.1.1 commit any act of bankruptcy or enter into any liquidation (other than for the purpose of reconstruction or amalgamation);
6.1.2 are subject to the appointment of an administrator, administrative receiver or liquidator;
6.1.3 are unable to pay your debts as they fall due;
6.1.4 have an administration order or receiving order made against you or have a receiver of all or any of your undertakings or assets appointed;
6.1.5 make or negotiate for any composition or arrangement with or assignment for the benefit of your creditors;
6.1.6 present a petition or have a petition presented by a creditor for your winding-up;
6.1.7 call any meeting of your creditors, or make or negotiate for any composition or arrangement with or assignment for the benefi t of your creditors; or
6.1.8 cease to carry on business.
6.2 You (and each guarantor) agrees to indemnify (and keep indemnified) Make Retail on demand against any costs, claims, damages, liabilities and expenses (including legal fees on a full indemnity basis), which Make Retail may sustain, suffer or incur arising from any default whatsoever by you or any guarantor of these terms and conditions or any other terms and conditions of Make retail which are applicable to the sale of goods supplied pursuant to the credit account
